These Website Terms of Use (the "Website Terms") are entered into between Origin Lab Holdings, Inc. ("Origin Lab," "we," "us," or "our") and you. They govern access to and use of the public website located at originlab.ai and any related public-facing webpages, documentation, forms, and communications that link to these Website Terms (collectively, the "Website"). Artificial World Intelligence™ is a trademark of Origin Lab.

These Website Terms do not govern the authenticated marketplace located at app.originlab.ai, any dataset browsing, downloading, ordering, or transfer workflow, or the downloadable recording application. Those activities are governed by separate terms.

By accessing or using the Website, you agree to these Website Terms. If you do not agree, do not use the Website. If you use the Website on behalf of an organization, you represent that you are authorized to bind that organization.

You must be at least 18 years old, or the age of legal majority where you live, and legally capable of entering into a binding agreement.

You may use the Website only for lawful business and informational purposes, including learning about Origin Lab, requesting information, contacting us, and evaluating whether to engage with our services.

You may not:

• copy, scrape, harvest, mirror, frame, or systematically extract Website content except as permitted by us in writing;
• use bots, crawlers, or automated tools to access the Website except through authorized interfaces;
• reverse engineer or attempt to discover source code or non-public functionality;
• upload malware, malicious code, or harmful content;
• misrepresent your identity or affiliation;
• use the Website or Website content to build a competing directory, dataset, or service;
• use any public-site text, images, or materials to train, fine-tune, benchmark, or evaluate AI systems, or to build or enrich any dataset, without our prior written consent; or
• use the Website in any way that could damage, disable, overburden, or impair the Website or interfere with any other person's use.

Unless otherwise stated, the Website and all content on it, including text, graphics, branding, layouts, software, documentation, screenshots, videos, and other materials, are owned by Origin Lab or its licensors and are protected by applicable intellectual property laws.

We grant you a limited, revocable, non-exclusive, non-transferable right to access and use the Website for internal business evaluation and informational purposes only.

No right, title, or interest in the Website or Website content is transferred to you except for the limited right expressly stated in these Website Terms.

Origin Lab may make certain preview materials, sample clips, excerpts, screenshots, metadata exports, or evaluation datasets available through the Website, through third-party platforms such as GitHub, through cloud storage or transfer links, or through any other Origin-controlled distribution channel (collectively, "Public Samples").

All Public Samples are provided on a limited, revocable, non-exclusive, non-transferable basis for internal evaluation and non-commercial research purposes only.

Unless Origin Lab expressly states otherwise in a separately executed written agreement, you may not use Public Samples to:

• train, fine-tune, benchmark, test, or evaluate any AI or machine learning system;
• build or enrich any dataset;
• use in production or for any commercial purpose;
• publish benchmark results referencing Origin Lab content;
• redistribute, sublicense, repost, mirror, or make available to others;
• post to any repository, platform, or channel not operated by Origin Lab;
• attempt to identify or contact any depicted person;
• perform biometric identification, surveillance, voice cloning, avatar generation, or similar identity-linked uses; or
• remove notices, watermarks, access controls, or provenance information.

Any Public Sample may be withdrawn or disabled at any time. Upon request from Origin Lab, or upon expiration of the evaluation purpose, you must promptly stop using and delete the Public Sample.

These restrictions apply regardless of the channel through which you obtained the Public Sample, including direct download from the Website, GitHub, cloud storage links, email, API, or any other method.

If you send us feedback, ideas, feature requests, comments, or suggestions, you grant Origin Lab a perpetual, irrevocable, worldwide, royalty-free right to use, modify, incorporate, and exploit that feedback without restriction or compensation to you.

The Website may contain links to third-party websites, tools, repositories, or services. Those third-party resources are provided for convenience only. Origin Lab does not control and is not responsible for third-party content, policies, availability, or security. Your use of any third-party site or service is governed by that third party's own terms and policies.

Our collection and use of personal information through the Website is described in the Origin Lab Privacy Policy. If you later use the marketplace or recording application, additional privacy terms may apply.

THE WEBSITE AND ALL PUBLIC SAMPLES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGIN LAB DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AVAILABILITY, ACCURACY, AND SECURITY.

Website materials and Public Samples may be incomplete, out of date, or prepared for general information and evaluation only. Nothing on the Website is legal, financial, technical, or professional advice.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGIN LAB WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE WEBSITE, PUBLIC SAMPLES, OR THESE WEBSITE TERMS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ORIGIN LAB'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE WEBSITE, PUBLIC SAMPLES, OR THESE WEBSITE TERMS WILL NOT EXCEED THE GREATER OF (A) USD $100 OR (B) THE AMOUNT, IF ANY, YOU PAID TO ORIGIN LAB SPECIFICALLY FOR USE OF THE WEBSITE IN THE 12 MONTHS BEFORE THE CLAIM AROSE.

You will defend, indemnify, and hold harmless Origin Lab and its officers, directors, employees, affiliates, service providers, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or relating to your misuse of the Website or Public Samples, your violation of these Website Terms, or your violation of any law or third-party right.

Origin Lab may update the Website and these Website Terms from time to time. Changes will become effective when posted or on the later effective date stated in the updated version.

We may suspend, restrict, or terminate access to the Website at any time, with or without notice, if we reasonably believe it is necessary to protect the Website, our users, or our business.

These Website Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.

Except where mandatory law requires otherwise, any dispute arising out of or relating to the Website or these Website Terms must be brought exclusively in the state or federal courts located in San Francisco County, California, and each party consents to that venue and jurisdiction.

If any provision of these Website Terms is held unenforceable, the remaining provisions will remain in effect.

You may not assign or transfer these Website Terms without our prior written consent. Origin Lab may assign these Website Terms freely in connection with a corporate reorganization, financing, acquisition, or sale of assets.

These Website Terms, together with any terms expressly incorporated by reference, are the entire agreement between you and Origin Lab regarding the Website.
